TERMS AND CONDITIONS

These Terms and Conditions govern membership of the Big Barrel Mates Club loyalty programme.

By registering for or using a Mates Club membership, you agree to these Terms and Conditions.

These Terms should be read together with Big Barrel's general Terms and Conditions and Privacy Policy.

1. About Mates Club

Big Barrel Mates Club is Big Barrel's free promotional loyalty and communications programme.

Mates Club is designed to reward our loyal customers and keep our Mates informed about Big Barrel products, prices, promotions, offers and events.

Depending on the offers available from time to time, Mates Club members may receive benefits including:

• Mates Club member pricing on selected products;
• Mates Club Reward Points;
• Bonus Point promotions;
• Reward Vouchers;
• member-only offers and promotions;
• information about new products and product launches;
• competitions and prize promotions;
• invitations to selected tastings or events; and
• other Mates Club benefits offered by Big Barrel from time to time.

Mates Club membership is free.

Receiving the Big Barrel Mates Club email Mailer is an essential part of active Mates Club membership because the Mailer is used to communicate member pricing, promotions, rewards and other Mates Club offers.

2. Definitions

In these Terms:

Big Barrel, we, us or our means Big Barrel Group Limited as administrator of the Mates Club programme and, where applicable, participating Big Barrel stores and associated Big Barrel entities involved in providing Mates Club services and benefits.

Big Barrel Online means Big Barrel's online retail service provided through bigbarrel.co.nz.

Mates Club means the Big Barrel Mates Club loyalty and communications programme.

Member, Mate, you or your means a person registered as a member of Mates Club.

Mates Club Account means the customer account associated with your Mates Club membership.

Mates Club Price means a price identified as being available to eligible Mates Club members.

Reward Points means standard Mates Club points earned through qualifying purchases.

Bonus Points means additional promotional points offered under a particular promotion.

Mates Club Points or Points means Reward Points and Bonus Points collectively.

Reward Voucher means a Big Barrel voucher issued when the required number of Mates Club Points has been accumulated.

Participating Store means a Big Barrel store participating in the Mates Club programme, including Big Barrel Online where applicable.

Mailer means Big Barrel's Mates Club promotional email communications.

3. Eligibility

To join and remain an active Mates Club Member:

• you must be an individual person;
• you must be aged 18 years or over;
• you must be resident in New Zealand;
• the membership must be registered in your own name;
• you must provide accurate registration information;
• you must maintain a valid email address;
• you must remain subscribed to the Big Barrel Mates Club email Mailer; and
• your membership must not be used for fraudulent, misleading, wholesale, resale or other unauthorised purposes.

Mates Club is intended primarily for individual retail customers.

Big Barrel may exclude business, wholesale, trade or resale transactions from Mates Club benefits.

Membership of Mates Club does not create any entitlement to purchase alcohol. Big Barrel retains all rights and obligations relating to responsible sale of alcohol, proof of age, intoxication, licence conditions and applicable law.

4. Registration and information required

To establish and administer a Mates Club Account, Big Barrel may require information including your:

• full name;
• email address;
• date of birth;
• address;
• contact telephone number; and
• other information reasonably required to identify you or administer your membership.

You must provide accurate information and keep your details reasonably up to date.

If you do not provide information reasonably required to identify, administer or verify your Mates Club Account, Big Barrel may be unable to provide Mates Club benefits.

Personal information collected through Mates Club will be handled in accordance with Big Barrel's Privacy Policy and the Privacy Act 2020. Privacy Commissioner

5. Big Barrel Online registration

Under Big Barrel's current online registration process, customers registering as new Big Barrel Online customers through the Mates Club registration process are enrolled in Mates Club and subscribed to the Mates Club email Mailer.

Customers who were already registered for the Big Barrel Website and have previously been upgraded to Mates Club do not need to register again.

Registration information displayed on the Big Barrel Website will explain that registration includes participation in Mates Club and subscription to the Mates Club email Mailer.

Big Barrel may introduce an alternative registration process in the future allowing customers to maintain a standard online retail account separately from Mates Club membership.

6. Mates Club email Mailer

Mates Club is both a loyalty programme and a promotional communications programme.

As a condition of active Mates Club membership, Members must maintain a valid email address and remain subscribed to the Big Barrel Mates Club email Mailer.

By joining Mates Club, you consent to receiving Mates Club promotional emails which may include:

• Mates Club prices and specials;
• member-only promotions;
• Reward Point and Bonus Point offers;
• Reward Voucher information;
• competitions;
• events and tastings;
• new products and launches; and
• other Big Barrel and Mates Club offers.

Commercial electronic messages sent by Big Barrel will include an appropriate unsubscribe facility as required by New Zealand law.

You may unsubscribe from promotional emails at any time.

If you unsubscribe from the Big Barrel Mates Club email Mailer, your active Mates Club membership will be deactivated because receiving the Mailer is a condition of active membership.

When your membership is deactivated:

• you will cease receiving Mates Club promotional emails;
• you will no longer be entitled to Mates Club Prices;
• you will not earn new Reward Points or Bonus Points;
• you will not participate in new member-only Mates Club offers; and
• your existing Points and Reward Vouchers will be dealt with in accordance with these Terms.

Unsubscribing from promotional emails does not prevent Big Barrel from sending non-promotional communications reasonably necessary to administer an existing purchase, transaction, customer account, legal obligation, security matter or customer-service request.

Under New Zealand's Unsolicited Electronic Messages Act, a recipient remains entitled to withdraw consent to commercial electronic messages, and unsubscribe requests must be honoured within the statutory timeframe. Department of Internal Affairs

7. Email, SMS or telephone marketing consent

Joining Mates Club currently provides consent for the Big Barrel Mates Club email Mailer, SMS or Telephone marketing consent only.

Joining Mates Club does, by itself, constitute consent to receive:

• SMS or text-message marketing;
• promotional telephone calls; or
• marketing through another direct communication channel.

If Big Barrel introduces additional marketing channels in the future, any consent required for those channels will be dealt with separately.

8. Identifying and verifying a Mates Club Account

Mates Club membership and benefits are personal to the registered Member.

When using Mates Club at a participating store, you may be asked to identify your account using information such as your:

• Mates Club or customer number;
• registered telephone number; or
• registered email address.

Once an account has been located, Big Barrel staff may ask you to verify sufficient account information to reasonably establish that you are entitled to use the account.

This process is intended to protect Members and prevent unauthorised people from obtaining Mates Club pricing, Points or Rewards using someone else's account.

Where reasonably necessary, Big Barrel may request additional identification.

If Big Barrel cannot reasonably locate or verify the relevant account, it may decline to apply Mates Club benefits to that transaction.

Members must not knowingly allow another person to improperly use their Mates Club Account or Reward Vouchers.

9. Access to Mates Club information

Authorised Big Barrel personnel may access Mates Club information where reasonably necessary to perform legitimate Big Barrel duties, including:

• locating a Member's account;
• verifying account ownership;
• processing a transaction;
• applying Mates Club pricing;
• administering Points and Reward Vouchers;
• resolving account or transaction enquiries;
• investigating discrepancies or suspected misuse;
• providing customer service; and
• performing privacy, security, legal or compliance functions.

Access to customer information for legitimate Big Barrel duties does not authorise any employee, contractor or other person to use that information for their own personal purposes.

Customer information obtained through Big Barrel systems must not be used to personally search for, contact, follow or message customers, including through personal social-media accounts, except where separately authorised for a legitimate Big Barrel business purpose.

10. Mates Club Prices

Mates Club Prices may be offered on selected products from time to time.

Unless otherwise stated:

• the Member must identify or verify their Mates Club Account before completion of the transaction;
• Mates Club Prices cannot ordinarily be applied retrospectively after a transaction has been completed;
• purchase limits may apply;
• offers remain subject to stock availability;
• individual promotional conditions may apply; and
• Mates Club Prices are intended for personal retail purchases rather than wholesale, trade or resale purchases.

Products, Mates Club Prices and promotional periods may change from time to time.

Prices and offers may also vary between participating stores and Big Barrel Online unless advertised as a group-wide promotion.

11. Earning Reward Points

Subject to these Terms, Members earn:

1 Reward Point for each qualifying $25 spent in a single transaction.

For example:

No fractional Reward Points are awarded.

Any spend below the next $25 threshold does not carry forward to another transaction.

For example, a qualifying transaction of $64 earns 2 Reward Points. The remaining $14 does not carry forward.

The Mates Club programme provides for a maximum of:

20 standard Reward Points per transaction.

Where Big Barrel's current systems do not automatically enforce this maximum and additional standard Points are legitimately credited by the system, those Points will be honoured and will not be retrospectively removed solely because they exceed the 20-Point maximum.

Big Barrel may introduce automatic system enforcement of the 20-Point maximum. Once implemented, the maximum will apply automatically to transactions from the date of implementation.

Reward Points are personal to the Member and cannot be:

• sold;
• transferred to another Member;
• exchanged directly for cash; or
• combined between separate Mates Club Accounts.

12. Qualifying spend

Reward Points are calculated on qualifying product spend after applicable discounts, credits and vouchers have been applied.

Unless Big Barrel expressly states otherwise, qualifying spend excludes:

• freight or delivery charges;
• cash-out;
• gift card or gift voucher purchases;
• amounts paid using a Reward Voucher;
• refunded, reversed or cancelled purchases;
• excluded regulated products; and
• other non-product charges.

13. Products excluded from Reward Points

Mates Club Points will not be earned where providing a loyalty reward in relation to a product is prohibited by law.

This includes regulated products such as tobacco and vaping products where applicable.

New Zealand legislation prohibits gifts, cash rebates and specified rewards provided in consideration for purchasing regulated products. New Zealand Legislation

Big Barrel may also exclude other products, services or transaction types from earning Points where clearly communicated to Members.

14. Bonus Points

Big Barrel may offer Bonus Point promotions from time to time.

Bonus Point offers may apply to:

• selected products;
• particular brands or categories;
• selected participating stores;
• particular purchase amounts;
• specified promotional periods; or
• other qualifying activities identified in the promotion.

Bonus Point promotions may have separate conditions, including commencement and expiry dates, purchase limits and maximum Bonus Points.

The specific terms of a Bonus Point promotion will apply in addition to these general Terms.

15. Reward Vouchers

For every 100 valid Mates Club Points accumulated, the Member will receive a:

$10 Big Barrel Reward Voucher.

When a Reward Voucher is generated:

• 100 Mates Club Points will be deducted from the Member's Points balance;
• the Reward Voucher will be valid for 6 months from the date of issue;
• the Reward Voucher may only be redeemed once;
• the Reward Voucher cannot be exchanged for cash;
• no cash change will be provided if the eligible purchase is less than the value of the Reward Voucher; and
• the Reward Voucher may be used as part payment where the eligible purchase exceeds its value.

Members are responsible for redeeming Reward Vouchers before their stated expiry date.

16. Extension of Reward Voucher expiry

Reward Vouchers ordinarily expire 6 months after their date of issue.

In exceptional circumstances, Big Barrel management may, at its discretion, agree to extend the expiry date of a Reward Voucher.

Any request for an extension will be considered on a case-by-case basis.

An extension is not guaranteed and does not create an entitlement to extensions for the same Member or any other Member in the future.

17. Restrictions on Reward Vouchers

Reward Vouchers cannot be:

• exchanged for cash;
• sold or transferred for value;
• redeemed after expiry unless Big Barrel management has approved an extension;
• used to purchase tobacco, vaping products or other regulated products where prohibited by law;
• used to purchase another gift card or gift voucher; or
• used in any other circumstances prohibited by law.

Big Barrel may reasonably require verification of the Mates Club Account before accepting a Reward Voucher.

18. Expiry of Mates Club Points

Each Mates Club Point expires 24 months after the date on which that Point was earned if it has not previously been converted into a Reward Voucher.

Once a Point expires, it will no longer be available for conversion into a Reward Voucher.

Expired Points cannot ordinarily be reinstated.

Big Barrel may reinstate or adjust Points where it determines that they were incorrectly expired, credited or deducted because of a genuine transaction, administrative or system error.

Once Points have been converted into a Reward Voucher, those Points cease to exist and the Reward Voucher is governed by the separate 6-month Reward Voucher expiry period.

19. Effect of cancelling or deactivating membership on Points

Where a Member voluntarily cancels their Mates Club membership or unsubscribes from the Mates Club email Mailer:

• they will cease earning new Points;
• they will cease receiving active Mates Club benefits;
• valid unused Points already earned will remain recorded against the account until their normal 24-month expiry date; and
• those Points cannot be redeemed while the membership remains inactive.

If the Member reactivates their Mates Club membership and resubscribes to the Mates Club email Mailer before those Points expire, the remaining valid Points may again become available.

Points that expire while the membership is inactive will not ordinarily be restored.

20. Effect of cancellation on existing Reward Vouchers

A Reward Voucher that was validly issued before a Member voluntarily deactivates their Mates Club membership will remain valid until its stated expiry date, subject to these Terms.

Big Barrel may require appropriate verification before the Reward Voucher is redeemed.

This does not apply to a Reward Voucher obtained through fraud, manipulation, system abuse or another invalid transaction.

21. Returns, refunds and reversed transactions

If a purchase for which Points were earned is subsequently:

• refunded;
• cancelled;
• reversed;
• charged back; or
• otherwise unwound,

Big Barrel may deduct the corresponding Points from the Member's Mates Club Account.

If those Points have already been converted into a Reward Voucher, Big Barrel may:

• cancel the relevant unused Reward Voucher;
• adjust the Member's Points balance; or
• make another reasonable adjustment reflecting the reversed transaction.

A Member is not entitled to retain Points or Rewards relating to a purchase that has been fully refunded or reversed.

22. Missing Points

Members should identify their Mates Club Account before completing a transaction.

Big Barrel is not obliged to retrospectively award Points where membership was not identified at the time of purchase.

However, Big Barrel may investigate and, at its discretion, correct a genuine missing-Points issue where the Member provides sufficient evidence of the qualifying transaction.

A receipt or other transaction information may be required.

23. Incorrectly credited Points

Big Barrel may correct a Member's Points balance where Points have been credited or deducted incorrectly because of:

• system error;
• duplicate transactions;
• transaction reversal;
• administrative error;
• obvious calculation error; or
• fraud or misuse.

Where a Member has reasonably relied upon Points legitimately awarded by Big Barrel's existing system, Big Barrel will not retrospectively remove those Points solely because the current system did not apply the intended 20 standard Point transaction maximum.

24. Account security

Members should take reasonable care to protect their Mates Club Account information.

You should notify Big Barrel promptly if you believe:

• somebody has accessed or used your account without permission;
• Points or Reward Vouchers have been used without authority;
• your registered email address or account has been compromised; or
• information associated with your account is incorrect.

Big Barrel may temporarily suspend Points redemption, Reward Vouchers or other account functions while reasonably investigating suspected unauthorised activity.

25. Fraud, misuse and abuse

Big Barrel may investigate, suspend or restrict a Mates Club Account where it reasonably suspects:

• fraud;
• false identity or account information;
• unauthorised use of another Member's account;
• creation of multiple accounts to improperly obtain benefits;
• manipulation of transactions to generate Points;
• improper duplication or transfer of Points;
• abuse of promotional limits;
• resale or commercial misuse;
• fraudulent use of Reward Vouchers; or
• another material breach of these Terms.

While an investigation is underway, access to Points, Reward Vouchers or other Mates Club benefits may be temporarily suspended where reasonably necessary.

Where Big Barrel reasonably establishes fraud, serious misuse or abuse, Big Barrel may:

• reverse improperly obtained Points;
• cancel improperly obtained Reward Vouchers;
• merge duplicate accounts;
• suspend membership;
• terminate membership; and/or
• take other reasonable action to protect Members, Big Barrel and the integrity of the programme.

26. Cancelling your Mates Club membership

You may cancel your Mates Club membership at any time.

You may also withdraw your consent to receiving Mates Club promotional emails by using the unsubscribe facility included in Big Barrel emails.

Because subscription to the Mates Club email Mailer is an essential condition of active Mates Club membership, unsubscribing from the Mailer will result in your active Mates Club membership being deactivated.

You may subsequently request to reactivate your Mates Club membership by resubscribing to the Mailer and satisfying the membership requirements applying at that time.

27. Death of a Member

Mates Club membership is personal to the Member.

If a Member dies, their Mates Club membership will end.

Mates Club Points are not ordinarily transferable to another person's Mates Club Account.

Big Barrel may consider reasonable requests concerning an already-issued Reward Voucher on a case-by-case basis, subject to appropriate verification.

28. Promotions, competitions and events

Mates Club competitions, giveaways, tasting events, travel prizes, promotional campaigns and other special offers may have separate terms and conditions.

Where specific promotional terms apply, those terms operate in addition to these Mates Club Terms.

Where there is an inconsistency relating specifically to that promotion, the specific promotional terms will apply to that promotion.

29. Changes to Mates Club

Big Barrel may amend the Mates Club programme from time to time for legitimate commercial, operational, technological, regulatory or legal reasons.

Changes may include:

• the rate at which Points are earned;
• qualifying-spend thresholds;
• maximum Points per transaction;
• Reward Voucher thresholds;
• Reward Voucher values;
• Point or Reward Voucher expiry periods;
• eligible or excluded products;
• participating stores;
• Member benefits; or
• other programme features.

Where a change materially reduces an existing Member benefit or materially affects valid Points already earned, Big Barrel will provide reasonable advance notice where reasonably practicable.

Immediate changes may be made where reasonably required because of:

• law or regulation;
• fraud or security concerns;
• technical or system integrity;
• correction of a genuine error; or
• circumstances outside Big Barrel's reasonable control.

The latest Mates Club Terms and their effective date will be published on the Big Barrel Website.

30. Ending the Mates Club programme

Big Barrel may discontinue the Mates Club programme for legitimate business reasons.

Where reasonably practicable, Big Barrel will provide Members with reasonable advance notice and an opportunity to use valid Points and Reward Vouchers before the programme closes.

Advance notice may not be possible where immediate termination is reasonably required because of law, insolvency, fraud, serious system failure or circumstances outside Big Barrel's reasonable control.

31. Privacy

Big Barrel collects and handles Mates Club personal information in accordance with the Privacy Act 2020 and Big Barrel's Privacy Policy. The Privacy Act 2020 replaced the Privacy Act 1993 and contains the information privacy principles governing collection, use, security, retention and disclosure of personal information. Privacy Commissioner

Members should refer to the Big Barrel Privacy Policy for information about:

• what information Big Barrel collects;
• why it is collected;
• how it is used;
• who may access or receive it;
• how information is protected;
• how long it may be retained;
• access and correction rights; and
• how to make a privacy complaint.

32. Consumer rights

Nothing in these Terms is intended to exclude, restrict or modify any right or remedy that cannot lawfully be excluded under applicable New Zealand law.

33. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

Big Barrel's failure to immediately enforce any provision does not prevent it from subsequently enforcing that provision.

These Terms are governed by New Zealand law.
